On April 23–24, an international conference titled “Drafting Effective International Contracts”: Remedying a Breach of Contract While Navigating the Multitude of Applicable Laws. “Is There a Way Out of the Labyrinth?”, was held in Kraków, organized by the UIA (Union Internationale des Avocats) in cooperation with the Kraków Regional Chamber of Legal Counsels, the Kraków Bar Association, and the Faculty of Law and Administration at Jagiellonian University.
The event focused on the practical challenges involved in drafting international contracts in a context of multiple legal systems. The program included, among other things, topics related to the impact of applicable law on contract performance and available remedies, workshops on drafting precise contract clauses, and an analysis of the risks associated with operating within foreign legal systems.
One of the highlights of the conference was a panel discussion on mandatory provisions and the public policy clause, moderated by Barbara Jelonek-Jarco, attorney-at-law, and a partner at KKG Legal. The discussion, which included experts representing various jurisdictions, focused, among other things, on the effectiveness of liability limitation clauses, statutory limitations in selected legal systems, and the relationship between freedom of contract and mandatory regulations.
The topics discussed clearly demonstrated that the key mechanisms for safeguarding the interests of the parties in international relations are established as early as the stage of negotiating and drafting the agreement, which has direct implications both in transactional practice and in disputes.
After the substantive part of the event, the participants gathered at Jama Michalika—one of the most recognizable spots in Kraków. The historic interiors, the artistic vibe, and the atmosphere of a city that has long blended tradition with modernity provided a natural backdrop for further discussions and relationship-building. This is yet another example of just how well Kraków lends itself to international gatherings, not only because of the high quality of the events, but also because of its unique character.
