In the frames of the actions on the improvement of legislation in Poland, Kubas Kos Gałkowski’s Partners actively participate in the works aimed at drafting new legal acts and collaborating with Polish Government, Parliament & President RP.

Professor Andrzej Kubas and Rafał Kos, PhD prepared a legal opinion on a draft bill on class actions. In addition, Rafał Kos, PhD was a professional during the Parliament’s Justice and Human Rights Committee sessions. The mechanism of class actions entered into force on July 19, 2010.

Rafał Kos, PhD and Dominik Gałkowski participated in the works of the Minister of Justice’s Expert Team for the amendment of the Insolvency and Rehabilitation Law which prepared recommendations in terms of specific changes in this law in Poland: legislative and institutional solutions. The new Restructuring Law, replacing the previous Insolvency law, entered into force in January 1, 2016.

Rafał Kos, PhD and Kamil Zawicki took part in the works of the Minister of Economy’s Alternative Dispute Resolution Expert Team. The comments made by the team have been taken into consideration in the new act, amending the Code of Civil Procedure in the scope of mediation and arbitration in 2016.

Kamil Zawicki took part in the works of the ADR Social Council for the Minister of Justice. The tasks of the Council included proposing and leading actions in the direction of the development of alternative dispute resolution methods, specifically: proposing solutions serving the development of ADR, providing opinions on draft acts in law as well as preparing and propagating the ethical principles of the work of a mediator and mediation proceedings and also mediator training standards.

Rafał Kos, PhD and Kamil Zawicki participated as experts of the Business Law Task Force for the Minister of Development, the duties of which included the identification of areas requiring the legislator’s intervention or indicating issues requiring extra-legislative measures. The team worked on amendments to the Class Action Act.

In 2018 Rafał Kos, PhD was appointed as an advisor of the President of Poland. Rafał Kos, PhD advises the President on issues connected with improving regulations in the scope of commercial law and conditions for stable development for Polish entrepreneurs. He is the President’s representative in the Presidential Entrepreneurship Council.

Rafał Kos, PhD was appointed as a member to the Jury of the Presidential Economic Award (17th and 18th edition).

Rafał Kos, PhD and Mirosław Cejmer, PhD participate in the works of the Ministry of State Assets on the proposal for a comprehensive reform of the law on the functioning of ownership supervision in commercial companies. Rafał Kos, PhD has been appointed member of the Corporate Law Reform Committee, the activities of which will be supported by a group of specialists forming five expert teams, including the Expert Team for Improving the Effectiveness of Supervisory Boards, composed of, among others, Rafał Kos, PhD and the Expert Team for Group of Corporation Law, including Rafał Kos, PhD and Mirosław Cejmer, PhD.

  • Our extensive experience in the provision of services to German-speaking clients has led us to create a German Desk. Members of the German Desk team speak German fluently and also possess practical knowledge of the economic realities as well as legal systems of Germany and Austria.


    The German Desk provides comprehensive legal services to clients from German-speaking countries. We conduct trans-border court and arbitration disputes plus negotiations and provide support in international transactions (in the area of Polish and German law as well as international agreements). We also offer consultancy services to businesses with German-speaking investors and have in-depth knowledge of the business customs and legal culture of our partners.


    The German Desk consists of a team of lawyers with extensive experience in providing services to German-speaking clients under the leadership of Mirosław Cejmer, PhD.

  • The professional experience of our lawyers acquired in Japan and in China, as well as the interest of Asian companies in investing in Poland have contributed to the establishment of the Kubas Kos Gałkowski Asian Desk. Our aim is to support Asian investors starting to intending to start business activities in Poland.


    The Asian Desk team are specialists possessing both education and experience in the scope of cooperation with countries of the Far East, specifically Japan, China and South Korea. Our preparation allows us to understand the specifics of the business and legal culture of the countries and to ensure versatile legal assistance.   • Representation of Deutsche Telekom Group in one of the largest disputes pending in Poland against Vivendi Universal on taking control over one of the mobile network operators. The proceedings had many subject matters and cover several dozens of proceedings before the common courts of law and arbitration courts in Poland and abroad. Value of the subject of litigation > EUR 1 billion (> USD 1 billion).
  • Representation of Ciech SA, leader of the chemicals industry in Poland, in proceedings initiated in the United States brought forth by one of the world's largest producers of chemical products against Ciech SA regarding claims connected with a trade agreement for the delivery of goods. Value of the subject of litigation approx. USD 100 million.
  • Representation of Zachem SA, one of the largest chemical plants in Poland, in proceedings brought forth by Air Products on the granting of an injunction to secure claims pursued before the London Court of Arbitration; the motion, in accordance with Kubas Kos Gałkowski's view, was dismissed in a final manner on 11th February, 2013. Value of the subject of litigation PLN 318 million (approx. USD 84 million).
  • Representation of Poyry Deutschland GmbH and Poyry Infra sp. z o.o. in court proceedings on payment against state owned railroad network operator PKP Polskie Linie Kolejowe SA. Value of the subject of litigation approx. PLN 150 million (approx. USD 40 million).
  • Representation of the Tauron Group, one of the leading energy concerns in Poland, in a precedential, multi-thread dispute, regarding long-term contracts for the sale of electrical energy and the so-called Green Certificates (RECs) with quite a lot of companies belonging to various consortiums from the renewable energy sector (wind power). According to some press releases, the wind power companies estimate the total value of claims at several billion PLN, the amount of which the Tauron Group refutes.
  • Representation of P4 sp. z o. o.; a mobile network operator, in a case against other market players: Polkomtel sp. z o.o., Orange Polska SA, and T-Mobile Polska SA in proceedings on payment of damages on the grounds of an act of unfair competition against the formation of connection prices to the client’s network. Value of the subject of litigation approx. PLN 315 million (approx. USD 83 million).

  • Company legal risk due diligence, at the commission of Can-Pack SA, a leading manufacturer in the beverage packaging industry in Central and Eastern Europe, including the legal analysis of the company’s operations from the beginning of its operations and subsequently preparing the company SPA as well as handling the transaction.
  • Consultancy in the process of the issuance of convertible bonds for ZPC Mieszko SA, leading regional manufacturer of sweets, in the amount of over PLN 120 million (approx. USD 32 million) as well as the registration of bonds in the National Depository of Securities for the purpose of procuring financing for the transaction of takeover of shares in a Lithuanian company by ZPC Mieszko SA.
  • Legal assistance in the negotiations and conclusion of the preliminary sale agreement and definite sale agreement by Ciech SA, leader of the chemicals industry in Poland, of all Ciech's shares in Alwernia SA to the benefit of Alwernia Invest sp. z o.o., controlled by Kermas Limited - an international investment corporation. Value of the transaction: approx. USD 13.5 million.
  • Providing full scope of legal services for the seller in the process of negotiation, conclusion of the conditional share purchase agreement and prior restructuring of the shareholding structure of Farma-Projekt sp. z o. o. and the share transfer agreement thereof for the benefit of Recordati Industria Chimica e Farmaceutica S.p.A. (Italian pharmaceutical company). Value of the contract: PLN 71 million (approx. USD 19 million).
  • Representation of BP Polska sp. z o. o. in transactions concerning the petrol station chain expansion in South-Eastern Poland (ca. 80 locations).

  • Representation of Wojas SA, one of the largest manufacturers of footwear in Poland, against BRE Bank (presently mBank SA) in the case on the establishment of an existence of BRE Bank’s claim towards the Client, rising from the premature closure of a JPY/PLN cross currency swap amounting to PLN 10 million (approx. USD 2.6 million).
  • Consultancy in preparing a precedential public offering for the purchase of Immofinanz AG shares as well as the accomplishing of the obligation of the offeror in place of the omitted local broker. The announced bid was the first voluntary tender offer of this type for the purchase of stocks of a foreign company, listed on the Warsaw Stock Exchange. An additional innovation was the resignation, in the Polish part of the bid, from the involvement of a local broker (brokerage house) and the settlement of the transaction between the national deposit systems of Austria (OeKB) and Poland (KDPW) with the use of the SWIFT system. The value of the offering exceeded EUR 422 million (USD 478 million).

  • The preparation of a due diligence report for a British investor, within the framework of the investment regarding the purchase of 4 pieces of big box real estate located in Western Poland, structural consultancy in the area of the model of carrying out the transaction.
  • Provision of services related to the purchase transaction of the tallest, commercial building in Krakow, with the participation of the Saudi Arabian DMI Trust.
  • Representation of a group of owners in the matter of repealing the decision concerning the entry of their pieces of real estate into the Register of Monuments of the Krakow City Center, which is one of the few historic cities in Poland, where the historical center is also the administrative and commercial center.
  • The purchase of the historic Pałac Tarnowskich in Krakow by Irish investors, representation during the negotiations and the conclusion of the purchase agreement as well as the investment loan agreement.
  • Representation of Deutsche Bank PBC SA for the Buffalo Project (the expansion of a network of approx. 100 branches all over Poland). The cooperation included the negotiation of lease agreements with real estate owners in the areas in which the branches were located; the General Terms and Conditions of Lease sample documentation was prepared for the needs of the process. It was used in the negotiations allowing uniform standards to be maintained and, subsequently facilitating client’s own contract management.
  • Representation of an American client, a global leader concentrated on improving the health and safety of people and the environment, in negotiations of an office space lease agreement in the center of Krakow as well as further negotiations on the conditions for the agreement’s extension.

  • Representation of the injured parties, who incurred property damages as a result of the flooding of their estates in Sandomierz, a historic city in the Southern Poland which used to be one of the most important urban centers and its surroundings which as a result of negligence of the defendant Polish public agencies. Value of the subject of litigation at the moment of instigating the claim > PLN 17 million (approx. USD 4.4 million).
  • Representation of a group of entrepreneurs in a class action against Zakład Ubezpieczeń Społecznych - a Polish state organization responsible for social insurance, in a precedential case for damages by misleading the entrepreneurs and allowing them not to pay contributions in the period in which they had, in their opinion, suspended their business activity. Value of the subject of litigation > PLN 235 thousand (approx. USD 60 thousand).
  • Representation of a group of claimants for the purpose of establishing compensatory liability of the defendant state bodies, resulting from the tortious execution of public authority in the scope of flood protection in the Płock Poviat – one of the largest poviats in Poland, rich both in historic and natural values. Value of the subject of litigation > PLN 15.5 million (approx. USD 4 million).
  • Representation of one of Poland’s largest banks (PKO BP SA) in a group action of the group of so-called Franc-debtors – persons that took out a mortgage loan denominated to the Swiss franc demanding the invalidation of their loan agreements; the case is in the initial phase, after serving the statement of claims, before the so-called certification. Value of the subject of litigation at the moment of instigating the claim > PLN 1.2 million (approx. USD 325 thousand).
  • Consultancy for CNH Industrial N.V. (owner of Iveco) in connection with possible group proceedings or other proceedings before Polish courts regarding compensatory claims resulting from the decisions of the European Commission dated 19 July 2016 (Issued in: Case AT. 39824 – Trucks Cartel).

He is the Vice-President of the Confederation Lewiatan Arbitration Court in Warsaw (since 2014). Appointed as Permanent Arbitrator and Conciliator of the Arbitration Court at the Office of the Attorney General of the Republic of Poland (since 2020). Graduate of comparative law studies at the University of Bonn (M.iur.comp.), conducted research on German and community companies and consortium law at the local Institute of Commercial Law, under the supervision of Prof. M. Lutter and Prof. K. Schmidt.
